Transformation is a drive focus for Distell as it continues to adhere to the principles of sound corporate governance. Distell’s involvement in transformation of the liquor industry has included helping to shape the Liquor Manufacturers’ Charter, currently in draft phase, as well as a number of initiatives in skills development and skills transfer, employment equity, preferential procurement, enterprise development, environmental management, public health and social investment.
Corporate Governance
Distell recognises that the implementation and maintenance of principles of sound corporate governance is core to protecting all our stakeholders, adding sustainable value to their relationship with the company. Consequently, they continually identify and establish ways of responsibly advancing relationships with stakeholders.
Corporate governance in Distell is managed and monitored by the board of directors and several subcommittees of the main board. They are unreservedly committed to the principles of good governance and to this end accept full accountability in applying the necessary disciplines of maintaining the highest standards of integrity, independence, fairness and social responsibility and they acknowledge their accountability to all stakeholders.
Transparency within the process of managing gives shareholders and other interest groups the assurance that the group is managed according to ethical norms and international best practice within the boundaries of prudently determined risk parameters.
The board is of the opinion that the group complies with all the significant principles incorporated in the Code of Corporate Practices and Conduct, as set out in the second King (King II) Report and the JSE Securities Exchange Listings Requirements.
Ethical Trading
Distell is a founding member of WIETA (the South African Wine Industry Ethical Trade Association), and the living conditions on its farms meet the requirements of the WIETA code of conduct. Compliance with these requirements is being rolled down to all
suppliers.
